Voice calls (including AI-assisted calls)

No Purchase Requirement

Client Use of Messaging Tools

If you use ZONE FIVE tools to message your customers, you are solely responsible for:

Obtaining proper opt-in consent
Complying with TCPA, CTIA, CAN-SPAM, and applicable laws
Honoring opt-out requests promptly

ZONE FIVE acts as a technology provider and is not responsible for your compliance failures.

4. No Guarantees or Promises of Results

Marketing outcomes vary.

While we apply best practices and professional judgment, ZONE FIVE makes no guarantees regarding:

Revenue increases
Lead volume
Conversion rates
Rankings, traffic, or performance metrics

Results depend on factors beyond our control.

5. Client Responsibilities

You agree to:

Provide accurate and complete information
Respond promptly to requests for input or approval
Ensure you have rights to all content and data you provide
Use services in compliance with applicable laws and regulations

Delays caused by missing information or approvals may affect timelines or outcomes.

6. Payments and Fees

Fees, billing schedules, and payment terms are defined in your agreement.

Unless otherwise stated:

Fees are non-refundable once services begin
Late payments may result in paused or terminated services
You are responsible for applicable taxes

7. Intellectual Property

Unless otherwise agreed in writing:

ZONE FIVE retains ownership of its methods, frameworks, templates, tools, and systems
You retain ownership of your pre-existing content and brand assets
Deliverables paid in full may be used for their intended business purpose

ZONE FIVE may reference non-confidential work for portfolio or case study purposes.

8. AI Tools and Automation

ZONE FIVE may use AI-assisted tools to improve efficiency and communication.

You acknowledge that:

AI tools assist but do not replace human judgment
AI outputs may require review and refinement
ZONE FIVE is not responsible for third-party AI platform outages, errors, or changes

9. Confidentiality

Both parties agree to keep confidential information private and use it only as necessary to perform services or comply with the law.

10. Limitation of Liability

To the maximum extent permitted by law:

ZONE FIVE is not liable for indirect, incidental, or consequential damages
Total liability shall not exceed the fees paid to ZONE FIVE in the three (3) months preceding the claim

11. Indemnification

You agree to indemnify and hold harmless ZONE FIVE from claims arising out of:

Content or data you provide
Your misuse of services or messaging tools
Your violation of laws, regulations, or third-party rights

12. Termination

Either party may terminate services pursuant to the applicable agreement.

Upon termination:

Outstanding fees remain payable
Access to tools or services may be discontinued
Confidentiality obligations survive termination

13. Third-Party Services

ZONE FIVE may integrate or recommend third-party platforms (e.g., CRM, scheduling, AI, messaging providers).

We are not responsible for:

Third-party outages or failures
Pricing or policy changes
Data handling practices of third-party providers

Use of third-party services is governed by their terms.

14. Website Use

You agree not to:

Use the website for unlawful purposes
Attempt to disrupt site functionality
Copy or misuse content without permission

15. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
